Welcome to DataEase (the “App”). These Terms & Conditions (the “Terms”) govern your use of:

  • The website dataease.app (the “Website”),
  • The DataEase application (“App”) published on the Shopify App Store,
  • Any services, features, and content provided by or through DataEase.

By installing the DataEase App via the Shopify App Store, using the Website, or continuing to use the App or Website after receiving notice of changes to these Terms, you accept and agree to be bound by these Terms. If you do not agree with these Terms, you must refrain from installing or using DataEase and the Website.

1. Overview

DataEase is a third-party service (“Third-Party Service”) published on the Shopify App Store in accordance with Shopify’s Terms of Service. As a user of DataEase, you must also comply with the Shopify Terms of Service, which are hereby incorporated by reference.

2. License to Use

  1. License Grant: We grant you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to install and use the App solely for personal or commercial purposes, in accordance with:
  • These Terms,
  • The technical specifications and rules of Shopify, and
  • All applicable laws and regulations.
  1. Restrictions: You may not:
  • Resell, assign, or transfer the license granted herein;
  • Modify, reverse-engineer, decompile, or disassemble any part of the App;
  • Use the App in a manner that violates any local, state, federal, or international law, or any Shopify terms, guidelines, or policies.
  1. Termination of License: The license is effective until terminated. We reserve the right to revoke your license if you fail to comply with these Terms or engage in prohibited uses.

3. Scope of the Agreement

  1. Shopify T&C: DataEase is classified as a “Third-Party Service” under the Shopify Terms of Service. This Agreement is in addition to the Shopify T&C. Should there be a conflict between this Agreement and the Shopify T&C, the Shopify T&C shall govern to the extent required by Shopify.

  2. Acceptance: By installing or using the DataEase App, you agree to abide by all terms and conditions outlined in:

  • This Agreement, and
  • Any referenced policies (e.g., Privacy Policy, Shopify T&C).

4. Data Collection and Processing

  1. DataEase Functionality: For DataEase to function as intended, it may store and process personal data and Shopify store data. This may include:
  • Shopify store contact information,
  • Information about users of the Shopify store who interact with the App,
  • Data uploaded, imported, or exported via the App.
  1. GDPR Compliance: DataEase processes data in compliance with the General Data Protection Regulation (GDPR). Among other things, users have the right to:
  • Request access to the data we store about them,
  • Request deletion of their data.

  1. Data Deletion: When you remove the App from your Shopify store, DataEase will automatically remove your data in accordance with Shopify’s data deletion requirements. If you have any additional concerns about data retention or removal, please contact us.

  2. Data Usage: We use the collected data primarily to provide and improve the functionality of DataEase. We do not sell or rent your personal data to third parties.

5. Pricing & Payment

  1. Plans and Pricing: DataEase offers public pricing plans, which are listed on the pricing page. All prices are subject to change without notice.

  2. Taxes and VAT: Prices displayed do not include VAT. Shopify manages invoicing and may add VAT depending on the country in which you are billed.

  3. Billing: All billing is handled through Shopify. By installing or using DataEase, you agree to any charges associated with your selected plan.

6. Refund Policy

Refunds, if any, are governed by Shopify’s Terms of Service. For questions regarding refunds, cancellations, or billing disputes, please refer to Shopify’s policies or contact us for guidance.

7. User Obligations and Prohibited Uses

  1. User Conduct: You agree not to use the App or the Website in any way that:
  • Violates any local, state, federal, or international law,
  • Infringes upon the rights of others,
  • Compromises the security or functionality of Shopify, the App, or any related systems.
  1. Prohibited Conduct: You must not:
  • Upload or transmit viruses, worms, or malicious code,
  • Interfere with or circumvent any security feature of the App or the Website,
  • Engage in unlawful, abusive, harassing, or otherwise objectionable behavior.

Any violation of the above may result in the immediate termination of your license and/or legal action, at our sole discretion.

8. Intellectual Property

  1. Ownership: All content, logos, design elements, trademarks, and other intellectual property related to DataEase (excluding user-generated content) are owned by us or our licensors.

  2. Limited Right to Use: You have a limited right to use such intellectual property only as required for using the App and Website. You must not copy, redistribute, or modify any part of the App or associated materials unless expressly permitted by us.

9. Disclaimer of Warranties

  1. As Is: The App, the Website, and all services provided therein are provided “as is” and “as available”, without any warranty of any kind, whether express or implied.

  2. No Guarantee: We do not guarantee that your use of the App will be uninterrupted, error-free, or secure. We do not warrant that any data or content you obtain through the App is accurate or reliable.

  3. Third-Party Services: DataEase may rely on or integrate with third-party services (including Shopify). We do not guarantee and are not responsible for the performance or availability of those third-party services.

10. Limitation of Liability

To the fullest extent permissible by law:

  1. No Liability for Damages: We shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
  • Your use of or inability to use the App or the Website,
  • Any unauthorized access or alteration of your data,
  • Any conduct or content of any third party on the App or Website.
  1. Maximum Liability: In jurisdictions that limit the exclusion or limitation of liability for damages, our liability shall be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless DataEase, its affiliates, and respective officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, or expenses (including attorney fees) arising out of:

  • Your use of and access to the App and the Website,
  • Your breach of these Terms,
  • Your violation of any law or the rights of a third party.

12. Modifications & Updates

  1. Right to Modify: We reserve the right to modify or update these Terms at any time by posting a revised version on the Website.

  2. Notice of Changes: We will make reasonable efforts to notify you of any significant updates (e.g., via email or notices within the App). However, you agree to check the Website periodically for changes.

  3. Acceptance of Modifications: Your continued use of the App or Website following the posting of any changes constitutes acceptance of those changes.

13. Termination

  1. Termination by You: You may terminate your relationship with us by uninstalling the App and ceasing all use of the App and the Website.

  2. Termination by Us: We may, at our sole discretion, suspend or terminate your access to the App or Website at any time if we believe you have violated these Terms or any applicable law.

  3. Effect of Termination: Upon termination, all licenses granted to you in these Terms end immediately. Any clauses in these Terms that by their nature should survive termination will remain in effect (e.g., Disclaimer of Warranties, Limitation of Liability, Indemnification).

14. Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws applicable in your jurisdiction, unless otherwise mandated by Shopify’s or another binding entity’s terms. If you reside or your business is located in the European Union, GDPR protections apply to your personal data.
